Izola Bank sets EGM on Azure share issue as takeover heads to closing

Izola Bank shareholders will vote on 9 October on new shares tied to Azure Financial's takeover and a €2.8m capital injection.
Izola Bank has fixed an Extraordinary General Meeting for 9 October 2026 to vote on the issue of 5,387,978 new ordinary shares to Azure Financial Limited.
The meeting is the formal shareholder step in a transaction that has been building since April, when the bank disclosed talks with prospective investors over a possible change in ownership. By August those talks had produced several binding offers, and on 15 September shareholders signed a share purchase agreement covering the bank's entire issued share capital.
The sale to Azure Financial, the UK-based arm of France's Groupe Bricks SAS, includes a planned €2.8 million capital injection through the subscription of newly issued shares. Groupe Bricks' main business lines are digital real estate investment, asset management and property-related services.
Izola's existing shareholder, the Van Marcke Group, is not exiting completely. Under the proposed transaction it would acquire a minority stake in Azure Financial after completion, keeping an indirect interest in the bank.
The deal still needs regulatory approval, and the EGM notice does not specify the subscription price of the new shares. Shareholder backing on 9 October is one step in a sequence, not the finish line.
For Malta's banking community, the vote brings an unusual buyer into view: an investor whose core activity is digital property investment rather than traditional banking. The planned capital injection, once approved, would also give Izola a stronger balance sheet while the new ownership structure takes shape.
