Izola Bank Sold to Azure Financial in €2.8 Million Capital Deal

Izola Bank's shareholders agree to sell 100% to Azure Financial, with a €2.8 million capital injection and Van Marcke retaining an indirect stake.
Izola Bank is changing hands. Shareholders signed a share purchase agreement with Azure Financial Limited on 15 September 2026 for the acquisition of 100% of the bank's issued share capital.
The deal comes with a €2.8 million capital injection. Azure Financial will subscribe to newly issued shares, with the cash infusion expected shortly after signing, pending regulatory and board approval.
Existing shareholder Van Marcke Group is not walking away entirely. It plans to acquire a minority stake in Azure Financial, maintaining an indirect interest in Izola Bank after the transaction closes.
The sale follows months of speculation. Izola Bank confirmed in April it was in discussions with potential investors, and by August it had received binding offers.
Azure Financial is wholly owned by Groupe Bricks SAS, a French holding company. The Bricks group runs a regulated digital real-estate investment platform and is active in real-estate origination, investment, asset management, property management, retail, and hospitality.
The transaction remains conditional on regulatory approval. Izola Bank said further updates will be issued when appropriate.
For Malta's business community, this acquisition ties a local bank to a French real-estate tech group. The capital injection strengthens Izola Bank's balance sheet, but the strategic direction will now be shaped by a player focused on property investment and digital platforms. Local investors and depositors will watch how the new ownership integrates its real-estate expertise with traditional banking operations.
