Smartcare Finance swaps hotel collateral for care home on €7.5m bond

Smartcare Finance replaces hotel hypothec with increased care home security on its €7.5 million bond issue, leaving investors with a different risk mix.
Smartcare Finance plc has reshuffled the collateral backing its €7.5 million 4.65% secured bonds, releasing a hotel property and doubling down on a care home. The changes, flagged in a company announcement, follow the conditions laid out in the original 2022 bond prospectus.
The Wing 1 special hypothec over the Segond Boutique Hotel, which secured up to €3.5 million, has been dropped. In its place, the special hypothec over a care home owned by Smartcare Pinto Limited was increased from €3 million to the full €7.5 million nominal value of the bond issue. The original arrangements also included a €1.5 million special hypothec over a Sliema property owned by Smart Suites Limited, which remains unchanged.
All other collateral terms stay the same. The revised security continues to operate through Smartcare Security Trust II, with the Security Trustee holding the relevant rights on behalf of bondholders. A special hypothec gives creditors a legal claim over a specified property to secure repayment obligations.
The changes apply only to the 2022 bond issue, not to the company's separate €11 million bonds listed in October 2026. Smartcare Finance did not report any changes to the outstanding bond amount or provide updated property valuations, leaving investors to assess the implications of the shifted security mix.
For bondholders, the move replaces a hotel asset with a care home as the primary security. Without updated valuations, it is unclear whether the new collateral offers equivalent coverage. The decision signals how Smartcare is managing its property portfolio against debt obligations, a detail that matters to anyone holding or considering these bonds.
